Legal Information
LaLa Projects does not warrant that the information presented on the client(s) website will meet their client(s) requirements. In no event will LaLa Projects be liable to the client(s) or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these Web pages or Web site, even if LaLa Projects has been advised of the possibility of such damages. It is the sole responsibility of the client(s) to settle and/or fulfill any and all pre-existing obligations to any previous service providers. LaLa Projects will not be held responsible for any pre-existing obligations and any claim or suit resulting from providing services to the client(s). Once client(s) has transferred domain(s) and/or hosting services to LaLa Projects, client(s) are responsible for contracting existing or previous providers to cancel services. It is the client(s) responsibility to check proof/designs/development carefully for accuracy in all respects, ranging from spelling and settings to website malfunctions. LaLa Projects is not liable for error or omissions in client provided content. Client(s) cannot solicit and/or work with, in any capacity, with LaLa Projects’ contractors or employees, to be contracted/hired for any work that LaLa Projects is unaware of and that has not been approved without LaLa Projects’ written consent. Client’s contacting/ hiring our contractors or employees for similar services that LaLa Projects offers, without our approval would be a direct conflict or interest between LaLa Projects and its contractors/employees.
Copyrights, Trademarks, Ect.
The client(s) represents to LaLa Projects and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to LaLa Projects for inclusion in Web pages are owned by the client(s), or that the client(s) has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend LaLa Projects from any claim or suit arising from the use of such elements furnished by the client(s). Ownership of the assembled work of Web pages produced by LaLa Projects is owned by the LaLa Projects. Once client(s) has paid for services in full all rights owned by LaLa Projects as to designs, graphics, code, domain(s), photos files, and text are assigned to the clients(s).
Mobile
Mobile platform based on open source coding. LaLa Projects does not guarantee that mobile platforms or scripts will function properly on all cell phone/mobile devices. LaLa Projects does not guarantee that QR codes generated will scan properly every time and work on all cell phone/mobile devices. Updates to mobile sites may incur additional hourly billing.
Billable Services
All time spent on an established client account, whether it be a build project, marketing, support, estimates, or communication is considered a billable. Our invoices are based on hourly rates, time is accumulated bi-weekly or monthly, and is billed in 15-minute increments.
Preferred Payment Method
Credit cards are the preferred payment method. All established clients are required to have a valid credit card on file with LaLa’s accounting department.
Monthly Maintenance & License Fees
Maintenance and License Fees vary for each website and are managed via recurring monthly orders, the credit card on file will be auto processed on the 1st of the month.
Time & Material AdHoc Fees
AdHoc fees are considered any billable time accumulated due to requested client tasks and communication. AdHoc fees are invoiced separately from monthly maintenance and license fees. Clients are given terms of Net 10 Days.
Auto Processing Policy
All Monthly and Annual Maintenance and License Fees will be automatically processed.
AdHoc invoices under the amount of $250 will be automatically charged to the credit card on file upon the due date. Any AdHoc invoice above $250 requires the owner of the account to submit payment.
Payments
Should the client(s) or LaLa Projects choose to discontinue a contract during the design or development process, the initial deposit is non-refundable. If any payments are not received within 30 days of the due date, LaLa Projects reserves the right to suspend the website, domain, hosting services, theme licenses, plugin licenses, and website content transfer until payments have been brought. Any and all payments are final and non-refundable. We reserve the right to refuse completion or delivery of work until past due balances are paid. If we must retain attorneys to collect our invoices, client(s) agrees to pay LaLa Projects any charges incurred by LaLa Projects in causing client(s) to comply with the terms or the agreement and these terms and conditions. This includes a reasonable attorney’s fee, court costs, and interest at the maximum rate permitted by law. These charges shall be payable upon demand.
Timelines & Maintenance
All timelines are an estimate and are not guaranteed. Work will not begin until LaLa Projects has received a deposit. LaLa Projects may choose to utilize open-source or paid third-party software, platforms, or scripts and cannot be held accountable for any damages that result from security holes, breaches, or intrusions. Products and services are determined on a project basis. Updates are considered a billable service.
Pause Clause
Should the client(s) decide to pause work in the middle of an on-going project, payments must be brought current. A request to begin work again is welcome at any time, but team bandwidth will need to be considered and other on-going projects will take a higher priority. It is the policy of LaLa Projects that monthly hosting, annual plugins or software licensing fees start when the website goes live. Whether a website is live or not they take server and staffing resources to maintain and they are using plugins and software licenses. In the event that the client decides to pause work on the website, the monthly hosting, annual theme & plugins, and software licensing fees will start on the first of the next month instead of when they go live.
Search Engine Optimization(SEO)
Search Engine Optimization is not an exact science. LaLa Projects does not make written or implied guarantees to any specific search engine rankings or result positions that may be achieved, or to the level of visitation that may be developed.
SEO Time Schedule
Once Optimization is complete; Search engine rankings are not instantaneous. Existing Domains: Search engines will usually index Website(s) within 2 to 4 weeks after optimization is implemented. Rankings will usually show within 4-10 weeks after optimization is implemented. New Domains: Websites can take up to 6 months to be fully indexed and ranked after optimization is implemented.
Hosting, Email, and Domains(s)
LaLa Projects sells domains, hosting and email services via affiliate programs. Any and all payments for hosting, email, and domain(s) are final and non-refundable. The client(s) is the owner of the account and can transfer services to another provider at any time.
Server Abuse
Any attempts to undermine or cause harm to an affiliate’s server or subscriber of LaLa Projects services is strictly prohibited. Any violation of these Terms of Service will result in termination of the account. LaLa Projects maintains the right to terminate accounts without prior notification.
Maintenance & Downtime
Client(s) acknowledges that from time to time the services may be inaccessible or inoperable for various reasons, including periodic maintenance procedures or upgrades; or service malfunctions, and causes beyond LaLa Projects’ control or which are not reasonably foreseeable by LaLa Projects including the interruption or failure of telecommunications or digital transmission links, hostile network attacks, or network congestion or other failures. LaLa Projects has no responsibility and cannot be held liable for any downtime or any platform and/or email account or processes. While we will use every reasonable endeavor to ensure the integrity and security of the Server, we do not guarantee that the Server will be free from unauthorized users or hackers and we shall be under no liability for non-receipt or misrouting of email or for any other failure of email.
Backups & Deliverables
Digital Assets Deliverables
Each client(s) is set up with a client-owned google drive folder upon engaging the services of LaLa Projects. The folder is shared with LaLa Projects, so we can deliver work product, but the client is the owner of the folder. It is the sole responsibility of the client(s) to maintain the client’s own backup of any content, photos, logos or graphic design work completed by LaLa Projects. LaLa Projects is not responsible for lost or deleted content.
Client(s) can ‘unshare’ the Google Drive folder with LaLa Projects at any point. We highly recommend downloading all assets within the folder to your local computer before you ‘unshare’ as the assets could become unavailable to you afterwards.
Passwords and Accounts
LaLa Project works with client(s) to setup accounts on behalf of client(s). Upon set up, account login credentials are turned over to the client(s). It is the sole responsibility of the client(s) to maintain the accounts, passwords related to the accounts, and any reoccurring licensing or subscription fees that the client(s) may incur for the services related to that account. Failure to do so could result in broken services related to website performance or email.
Websites hosted on client owned hosting platforms
It is the sole responsibility of the client(s) to maintain the client’s own backups of websites or any data.
Websites hosted on the Cloud Access and Maintained by LaLa Projects
are provided with the following backup protocol:
- 14-Day Automatic Backups via Cloud Access.
- Manual Monthly Backups on the 1st of the Month.
- 3 Months of Backup History Stored on the Server.
It is the sole responsibility of the client(s) to maintain the client’s own website backup older than 3 months. A website backup can be requested at any time.

Availability
LaLa Projects does not operate on weekends and holidays. We are unable to return communication during these times.
Established client’s are welcome to login to our Support System to submit a support request 24/7. One of our qualified team members will respond the next business day.
Updates to Terms and Conditions
LaLa Projects reserves the right to update our Terms and Conditions at any time for any reason. The client(s) can check this page for updates at any time.
